WHOLESALE TERMS & CONDITIONS
Effective Date: August 16, 2026
These Wholesale Terms & Conditions (“Terms”) govern wholesale purchases of Kitch’n Clip products from K & K Kitchen Products, LLC, doing business as Kitch’n Clip (“Kitch’n Clip,” “we,” “us,” or “our”).
By creating a wholesale account, submitting a purchase order, or placing a wholesale order with Kitch’n Clip, you acknowledge that you have read and agree to these Terms.
1. RETAILER ELIGIBILITY AND ACCOUNT APPROVAL
Wholesale pricing is available to legitimate businesses purchasing Kitch’n Clip products for resale.
Kitch’n Clip reserves the right to review, approve, decline, suspend or terminate wholesale accounts at its discretion. We may request business information or documentation, including a valid resale certificate, before approving an account or providing tax-exempt purchasing privileges.
Approval of a wholesale account does not obligate Kitch’n Clip to accept any particular order.
2. WHOLESALE PRICING
Approved wholesale partners receive wholesale pricing as made available through their wholesale account or otherwise provided directly by Kitch’n Clip.
Unless otherwise agreed in writing, standard wholesale pricing is 50% off the applicable Manufacturer’s Suggested Retail Price (MSRP).
Wholesale pricing is confidential and intended solely for approved Kitch’n Clip wholesale partners.
Pricing may be changed from time to time at Kitch’n Clip’s discretion. Any pricing changes will apply to orders placed after the effective date of the change.
3. MINIMUM ORDER REQUIREMENTS
The current minimum opening order is:

12 Kitch’n Clip 2-Packs; or
-
6 Kitch’n Clip 4-Packs; or
-
An equivalent combination of 2-Pack and 4-Pack products.
Minimum order requirements may be updated from time to time and will be reflected in the Wholesale Program Overview or otherwise communicated to wholesale partners.
4. ORDERS AND ACCEPTANCE
Submission of an order or purchase order does not constitute acceptance by Kitch’n Clip.
All wholesale orders are subject to availability and acceptance.
Kitch’n Clip reserves the right to accept, decline, limit or cancel an order, in whole or in part, including in the event of inventory limitations, pricing errors, payment issues, suspected fraud, shipping restrictions or other circumstances affecting our ability to fulfill the order.
If Kitch’n Clip cancels an order after payment has been processed, the applicable amount will be refunded using the original payment method unless another method is agreed upon.
5. PAYMENT
Unless otherwise agreed in writing, wholesale orders must be paid in full before shipment.
Credit card payments may be made at checkout. ACH or wire transfer may be available for approved orders.
Any alternative payment arrangements must be approved by Kitch’n Clip in writing.
6. TAXES AND RESALE CERTIFICATES
Wholesale partners are responsible for providing a valid resale certificate or other applicable tax-exemption documentation before placing a tax-exempt order.
If valid documentation has not been received and processed, applicable sales taxes may be charged.
Wholesale partners are responsible for the accuracy and continued validity of the resale and tax information they provide.
7. SHIPPING AND DELIVERY
Shipping charges are the responsibility of the wholesale customer unless otherwise agreed in writing.
Shipping costs will generally be calculated at checkout or communicated before an order is finalized.
Most in-stock wholesale orders are expected to ship within 3–5 business days, although processing and delivery times are estimates and are not guaranteed.
Wholesale customers are responsible for providing complete and accurate shipping information.
Kitch’n Clip is not responsible for delays caused by carriers, severe weather, transportation interruptions, customs delays, supply-chain disruptions or other circumstances outside our reasonable control.
8. INSPECTION OF GOODS
Wholesale customers should inspect shipments promptly upon delivery.
Any claim involving products that are damaged in transit, defective, missing or incorrectly shipped should be reported to Kitch’n Clip within five (5) business days of delivery and should include the order number, a description of the issue and photographs when applicable.
The five-business-day reporting period for shipping shortages, transit damage or incorrect shipments does not shorten the separate one-year limited warranty applicable to manufacturing defects.
9. WHOLESALE RETURNS
Wholesale merchandise may not be returned without prior authorization from Kitch’n Clip.
Except for products that are defective, damaged in transit, incorrectly shipped, or otherwise subject to applicable legal rights, wholesale sales are final unless Kitch’n Clip agrees otherwise in writing.
Wholesale customers are responsible for return shipping costs for any discretionary return authorized by Kitch’n Clip.
If a return is required because products were defective, damaged in transit or incorrectly shipped, Kitch’n Clip will provide appropriate return instructions and, where applicable, cover reasonable return shipping costs.
Authorized returns must follow the instructions provided by Kitch’n Clip. Unauthorized returns may be refused.
The consumer 30-day Returns & Refunds Policy applicable to retail purchases made through the Kitch’n Clip consumer website does not apply to wholesale purchases unless expressly stated otherwise.
10. ONE-YEAR LIMITED PRODUCT WARRANTY
Kitch’n Clip products are covered by a one-year limited warranty against manufacturing defects, beginning on the original date of purchase.
The warranty applies to defects in materials or workmanship occurring during normal use of the product in accordance with Kitch’n Clip instructions, warnings and intended use.
The warranty does not cover damage resulting from misuse, abuse, improper storage, unauthorized modification, normal wear and tear, accidental damage, exposure to conditions exceeding the product's stated limitations, direct contact with flames or heating elements, or use contrary to supplied instructions or warnings.
If a product is determined by Kitch’n Clip to have a manufacturing defect covered by this limited warranty, Kitch’n Clip may, at its option and subject to applicable law, replace the product, repair it where practical, or refund the applicable purchase price.
Proof of purchase may be required for a warranty claim.
If a wholesale partner or its customer believes a product has a manufacturing defect, please contact Kitch’n Clip at support@kitchnclip.com with details of the issue and, where reasonably requested, photographs or other information allowing us to evaluate the claim.
Nothing in this section excludes or limits rights that cannot legally be excluded or limited.
11. PRODUCT USE AND SAFETY
Wholesale partners must not make representations regarding Kitch’n Clip products that are inconsistent with Kitch’n Clip's official product information, instructions, warnings or approved marketing materials.
Kitch’n Clip products are heat-resistant and designed for their specified kitchen and oven applications, but they are not fireproof.
Products must not be represented as suitable for exposure to open flame, direct contact with exposed heating elements, temperatures exceeding their stated limitations, broiler use, stovetop use, grills, barbecues or other direct-flame or concentrated-heat environments unless that particular use is expressly identified by Kitch’n Clip as approved.
Wholesale partners should provide customers with applicable product instructions, warnings and safety information supplied by Kitch’n Clip and should not remove or obscure safety information provided with the product.
12. INTELLECTUAL PROPERTY
All Kitch’n Clip trademarks, trade names, logos, product designs, photographs, marketing materials, written content, packaging and other intellectual property remain the property of K & K Kitchen Products, LLC or their respective owners.
Approved wholesale partners may use Kitch’n Clip-provided product images and marketing materials solely for the purpose of promoting and reselling authentic Kitch’n Clip products while they maintain an approved wholesale relationship with us.
Retailers may not alter Kitch’n Clip trademarks or branding in a manner that misrepresents the brand or suggests ownership, sponsorship or endorsement beyond the authorized wholesale relationship.
13. ONLINE SALES AND MARKETPLACES
Wholesale partners may sell Kitch’n Clip products through their own physical retail locations and business-operated websites.
Sale of Kitch’n Clip products through third-party marketplaces, including Amazon, Walmart Marketplace, eBay or similar platforms, requires prior written approval from Kitch’n Clip.
Kitch’n Clip reserves the right to restrict or revoke authorization for online or marketplace sales when reasonably necessary to protect the brand, customers or authorized retail network.
14. RESALE PRACTICES
Wholesale partners are responsible for marketing and selling Kitch’n Clip products accurately and in accordance with applicable laws.
Any MSRP communicated by Kitch’n Clip is a suggested retail price only unless otherwise stated in a separate written agreement.
Retailers remain responsible for determining their own resale prices in accordance with applicable law.
15. PRIVACY
Personal information collected in connection with wholesale accounts, orders and communications will be handled in accordance with the Kitch’n Clip Privacy Policy, as applicable.
Wholesale partners are responsible for complying with applicable privacy and data-protection laws in connection with their own customers and business operations.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, K & K Kitchen Products, LLC and its members, managers, officers, employees, affiliates, agents, contractors, suppliers and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including loss of profits, revenue, data or business opportunities, arising from or relating to a wholesale order, resale of Kitch’n Clip products or the wholesale relationship.
To the fullest extent permitted by applicable law, Kitch’n Clip's aggregate liability relating to a particular wholesale order will not exceed the amount paid to Kitch’n Clip for the products giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
17. FORCE MAJEURE
Kitch’n Clip will not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, epidemic or pandemic events, labor disruptions, transportation interruptions, carrier disruptions, supply-chain disruptions, governmental actions, war, civil unrest, utility or communications failures, material shortages or similar events.
18. SUSPENSION OR TERMINATION OF WHOLESALE ACCOUNTS
Kitch’n Clip may suspend or terminate a wholesale account or decline future orders if a retailer violates these Terms, misuses wholesale pricing, provides inaccurate information, fails to meet payment obligations, engages in unauthorized marketplace sales, misuses Kitch’n Clip intellectual property, makes unauthorized or misleading product or safety claims, or otherwise acts in a manner that materially harms the Kitch’n Clip brand or wholesale program.
Termination of a wholesale relationship does not affect obligations arising from orders placed or amounts owed before termination.
19. CHANGES TO THESE TERMS
Kitch’n Clip may update these Wholesale Terms & Conditions from time to time.
The version in effect when a wholesale order is placed will govern that order unless otherwise required by applicable law.
20. GOVERNING LAW
These Terms and the wholesale relationship between the parties will be governed by the laws of the State of Michigan, without regard to its conflict-of-law principles.
To the extent permitted by applicable law, legal proceedings arising from these Terms or the wholesale relationship shall be brought in a court of competent jurisdiction located in the State of Michigan.
21. SEVERABILITY AND WAIVER
If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
Kitch’n Clip's failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
22. ENTIRE AGREEMENT
These Wholesale Terms & Conditions, together with any applicable written wholesale agreement, accepted purchase order, Wholesale Program Overview, or other policy expressly incorporated by reference, constitute the agreement between the wholesale partner and K & K Kitchen Products, LLC concerning wholesale purchases.
If a separately executed written agreement expressly conflicts with these Terms, the separately executed agreement will control to the extent of the conflict.
