These Terms & Conditions (“Terms”) govern your access to and use of the Kitch’n Clip website and your purchase and use of products offered through the website.
The website and Kitch’n Clip products are offered by K & K Kitchen Products, LLC, doing business as Kitch’n Clip (“Kitch’n Clip,” “we,” “us,” or “our”).
By accessing our website, placing an order, or purchasing products from us, you agree to these Terms. Please read them carefully before using the website or purchasing a product.

By using this website or placing an order, you represent that you are legally capable of entering into a binding agreement in your jurisdiction.

We reserve the right to update or modify these Terms from time to time. Changes will become effective when published on the website unless otherwise stated.
3. PRODUCTS AND PRODUCT INFORMATION
We make reasonable efforts to display and describe our products accurately, including their appearance, colors, dimensions, features and intended uses.
However, colors and appearance may vary depending upon your device, screen settings, photography and manufacturing variations.
We may modify, discontinue, replace or update products or product specifications at any time, subject to applicable law.
4. ORDERS AND ORDER ACCEPTANCE
Submitting an order through the website constitutes an offer to purchase the products identified in your order.
Receipt of an automated order confirmation does not necessarily constitute our final acceptance of your order.
We reserve the right, to the extent permitted by law, to accept, decline, limit or cancel an order for legitimate reasons, including suspected fraud, payment authorization problems, product unavailability, incorrect product or pricing information, shipping restrictions or errors affecting the order.
If we cancel an order after payment has been processed, we will refund the applicable amount using the original payment method.
We may also limit quantities purchased by an individual, household, account, payment method or shipping address where reasonably necessary.
5. PRICING
All prices are displayed in the currency indicated on the website and may change without notice.
Once an order has been accepted, the price confirmed for that order will normally be honored.
If a product is listed at an obviously incorrect price due to a typographical, technical or other error, we reserve the right to cancel the affected order and refund any amount paid, subject to applicable law.
Applicable sales taxes, shipping charges and other charges will be shown during checkout where required.

7. SHIPPING AND DELIVERY

Customers are responsible for providing complete and accurate shipping information. We are not responsible for delays, failed deliveries or additional costs resulting from an incorrect or incomplete address supplied by the customer.
Any processing or delivery times displayed on the website are estimates unless expressly stated otherwise.
Delivery may be affected by circumstances outside our reasonable control, including carrier delays, severe weather, transportation disruptions, customs delays, labor disruptions, natural disasters and other unforeseen events.
Where tracking information is available, it may be provided to the customer after shipment.
If an order arrives damaged, is materially incomplete, or appears to have been lost in transit, please contact support@Kitch’n Clip.com promptly so that we can investigate.
Nothing in this section limits any rights available to consumers under applicable law.
8. RETURNS AND REFUNDS
Returns and refunds are governed by our separate Returns & Refunds Policy, as published on the Kitch’n Clip website.
The Returns & Refunds Policy forms part of these Terms.
Where there is any conflict between these Terms and the Returns & Refunds Policy concerning a return or refund, the Returns & Refunds Policy will apply to that issue, subject to applicable law.
9. ONE-YEAR LIMITED WARRANTY
Kitch’n Clip products are covered by a one-year limited warranty against manufacturing defects, beginning on the original date of purchase.
This limited warranty applies to defects in materials or workmanship occurring during normal use of the product in accordance with the instructions, warnings and intended use provided by Kitch’n Clip.
The warranty does not cover damage resulting from misuse, abuse, improper storage, unauthorized modification, normal wear and tear, accidental damage, exposure to conditions exceeding the product's stated limitations, direct contact with flames or heating elements, or use contrary to supplied instructions or warnings.
If a product is determined by us to have a manufacturing defect covered by this limited warranty, we may, at our option and subject to applicable law, replace the product, repair it where practical, or refund the applicable purchase price.
Proof of purchase may be required for a warranty claim.
To submit a warranty claim, contact support@Kitch’n Clip.com with details of the issue and, where reasonably requested, photographs or other information allowing us to evaluate the claim.
This limited warranty gives you specific legal rights. You may also have other rights under applicable federal, state or local law. Nothing in these Terms excludes or limits rights that cannot legally be excluded or limited.
10. PRODUCT USE AND SAFETY
Kitch’n Clip products must be used only for their intended purpose and in accordance with all instructions, temperature limitations, warnings and safety information supplied with the product or published by Kitch’n Clip.
Kitch’n Clip products are heat-resistant and designed for their specified kitchen and oven applications, but they are not fireproof.
Do not expose a Kitch’n Clip product to an open flame or allow it to come into direct contact with an exposed heating element.
Do not use the product at temperatures exceeding the maximum temperature specified on the product packaging, instructions or official Kitch’n Clip product information.
Do not use a Kitch’n Clip product under a broiler, on a stovetop, grill, barbecue, open fire or in any other environment involving direct flame or concentrated heat unless that particular use is expressly identified by Kitch’n Clip as approved.
Ovens and cooking appliances vary in their design and operation. Users are responsible for ensuring that the product is positioned and used safely and does not contact heating elements, flames or other surfaces that may exceed its rated operating temperature.
Inspect the product before use. Do not use a product that appears damaged, cracked, significantly deteriorated, deformed or otherwise compromised.
The product and surrounding cookware may become hot during use. Exercise appropriate care when handling hot cookware or removing items from an oven and use suitable heat protection where necessary.
Keep the product and packaging away from children when inappropriate for unsupervised use.
Failure to follow product instructions, warnings and temperature limitations may result in damage to the product, cookware or other property and may create a risk of burns, fire or other injury.
11. PROHIBITED USES
You may not use the website or our products for any unlawful purpose or in violation of applicable laws or regulations.
You may not interfere with the operation or security of the website, introduce malicious software, attempt unauthorized access to our systems, collect information about other users without authorization, or use our website or content for fraudulent or unlawful purposes.
We reserve the right to restrict or terminate access to the website for violations of these Terms.
12. PROMOTIONS, DISCOUNTS AND PROMOTIONAL CODES
From time to time, Kitch’n Clip may offer promotions, discounts, special offers or promotional codes.
Unless otherwise stated, promotional offers are subject to availability and any specific terms published with the promotion.
To the extent permitted by law, we reserve the right to modify, suspend, withdraw or terminate a promotion or promotional code at any time.
Promotional codes have no cash value, may not be reproduced, sold or transferred unless expressly permitted, and may be limited to one use per customer or order.
We reserve the right to reject or cancel the use of promotional codes obtained or used fraudulently or contrary to the applicable promotional terms.

The Kitch’n Clip website and its contents, including the Kitch’n Clip™ and Kitch’n Clip names and marks, logos, product imagery, photographs, videos, graphics, illustrations, packaging designs, written content, product descriptions, website design and other materials, are owned by or licensed to K & K Kitchen Products, LLC and are protected by applicable intellectual property laws.
Nothing in these Terms transfers any ownership interest in our intellectual property to you.
You may use the website for personal, non-commercial shopping and informational purposes.
Unless we provide prior written permission, you may not reproduce, copy, modify, distribute, publish, sell, license, commercially exploit or create derivative works from our protected content.
14. THIRD-PARTY SERVICES AND LINKS
Our website may use or provide access to services, applications, payment processors, websites or content operated by third parties.
We do not control third-party websites or services and are not responsible for their content, availability, security or practices.

Except for the express one-year limited warranty provided in Section 9 and any warranties or consumer rights that cannot lawfully be excluded, the website and related services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by applicable law, we disclaim warranties not expressly provided in these Terms, whether express, implied or statutory, including implied warranties of merchantability and fitness for a particular purpose where such warranties may lawfully be disclaimed.
Nothing in this section excludes or limits any warranty or consumer protection that cannot legally be waived or disclaimed.
16. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, K & K Kitchen Products, LLC and its members, managers, officers, employees, affiliates, agents, contractors, suppliers and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including loss of profits, revenue, data or business opportunities, arising from or relating to the website, services or products.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
In jurisdictions that do not permit certain exclusions or limitations of liability, our liability will be limited only to the maximum extent permitted by applicable law.
17. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless K & K Kitchen Products, LLC and its members, managers, officers, employees, affiliates, agents and service providers from claims, losses, liabilities or reasonable costs arising from your unlawful use of the website, violation of these Terms, or infringement of the rights of another person.
This provision does not apply to the extent a claim results from our own negligence, misconduct or violation of applicable law.
18. FORCE MAJEURE
K & K Kitchen Products, LLC will not be responsible for a delay or failure to perform an obligation where the delay or failure results from circumstances beyond our reasonable control.
Such circumstances may include natural disasters, severe weather, fire, flood, epidemic or pandemic events, war, terrorism, civil unrest, government actions, labor disputes, transportation interruptions, carrier disruptions, utility or communications failures, material supply shortages and significant supply-chain interruptions.
This provision does not affect any refund or other consumer right that cannot lawfully be limited.
19. PRIVACY
Our collection, use and disclosure of personal information are governed by the Kitch’n Clip Privacy Policy, available separately on our website.
By using the website, you acknowledge that you have had an opportunity to review our Privacy Policy.
20. GOVERNING LAW
These Terms and any dispute arising from or relating to them, the website or purchases made through the website will be governed by the laws of the State of Michigan, without regard to its conflict-of-law principles, except to the extent applicable federal law or mandatory consumer protection law provides otherwise.
To the extent permitted by applicable law, legal proceedings arising from these Terms shall be brought in a court of competent jurisdiction located in the State of Michigan.
Nothing in this section deprives a consumer of any mandatory protection provided by the laws applicable to that consumer.
21. SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
22. WAIVER
